Problem upgrading Vista Business 32-bit to Windows 7 Pro SP1
Clean install is NOT an option.
I have irreplaceable, mission critical apps installed.

environment:
Box is a Dell XPS 400 that was upgraded from XP to Vista.
System has 4GB RAM
Currently running Vista SP2 32-bit - fully updated.
Upgrade advisor is clean.
.
.
pre-install procedures:
Deleted any 3rd party CD or DVD burning apps.
Deleted old programs and phantom devices.
deleted phantom devices
Updated all drivers.
Unplugged all USB devices.
Performing clean boot.
I've also tried to upgrade after disabling modem, network, sound and video devices.
Installation still failed.
as this pc has been restored, I've deleted-
%SystemRoot%\System32\SMI\Store\Machine\ .blf
%SystemRoot%\System32\SMI\Store\Machine\ .regtrans-ms
Performed disk cleanup.

clean report from Upgrade advisor
sfc runs clean
chkdsk runs clean
attempted work-arounds:
Created system variable: MIG_UPGRADE_IGNORE_PLUGINS.
Set it to: IphlpsvcMigPlugin.dll. Still failed.
Set it to: usbmigplugin.dll. Still failed.
I've also tried all options with a Windows 7 Pro (no SP) disk.

installation observations:
Compatibility check during install doesn't find any issues.
stalls (although disk IO continues) at 40%, 57%. Then continues.
AT 62% number increments for a while then stalls with IO.
Screen goes black (with cursor present).
System reboots and rolls back.

FatalError [0x090001] PANTHR Exception (code 0xE06D7363: <unknown>) occurred at 0x7566B760
in C:\Windows\system32\KERNELBASE.dll (+0000B760). Minidump attached (67497 bytes).
although the memory locations may differ.
There is no .dmp although the log says Minidump attached (xxxxx bytes).
